Sponsors Queue for UK plc: £20.9bn of Offers in a Single August and the Biggest Code Deal Since 2018

bIAnk AI Research · September 2026 · 7 min

August 2026 produced five firm UK Takeover Code offers worth £20.88bn at an average premium of 36.9%, headlined by Prologis's recommended £14.3bn offer for SEGRO — the largest Code deal since 2018 — plus competing sponsor bids for easyJet, Bodycote and Gamma. Dry powder is finding the discount on UK-listed assets faster than boards can defend it.

On 4 August 2026 Prologis announced a recommended "best and final" share offer for SEGRO plc valuing the UK logistics REIT at £14.3bn, with a partial cash alternative. Prologis's own US filing put the equity value at roughly $18.8bn. It is the largest transaction under the UK Takeover Code since Takeda's £46bn offer for Shire and Comcast's £30.6bn bid for Sky in 2018, and it would expand Prologis's European footprint by 47% and its land bank by 126%, creating a platform of around $269bn in assets under management.

The month's striking feature was not one deal but the density of them. Gibson Dunn recorded five firm offers in August, up 67% on August 2025, worth £20.88bn in aggregate — £11.85bn more than July — at an average premium of 36.93%. Peel Holdings, already a 29.9% shareholder, launched a £582m hostile cash bid for Harworth Group on 6 August. Offers for Bodycote, Gamma Communications and Capricorn Energy all landed on 1 September.

Several targets attracted more than one sponsor. Apollo's agreed £5.7bn buyout of easyJet at £7.15 per share — an 81% premium to the undisturbed price — was contested by Castlelake, while Veritas and CVC competed for Bodycote and Epiris and Waterland for Gamma. Sovereign capital is underwriting the scale: the Abu Dhabi Investment Authority committed £1bn and Mubadala £500m to back EQT's separate £9.3bn take-private of Intertek Group.

Three forces are converging. UK mid and large-cap valuations still trade at a persistent discount to US comparables; sponsors are carrying vintage-2021 and 2022 dry powder that must be deployed or returned; and the sterling financing market has reopened enough to support leveraged structures at £2-10bn scale. Bid premia near 37% are the price of moving a board that knows its shareholders have been waiting.

For companies and investors on our side of the mid-market, the read-across is about process rather than scale. Competitive tension is what produced those premia: where two credible bidders were present, the outcome moved materially. Running a genuine process — even with three or four counterparties rather than twenty — remains the single highest-return decision a seller makes, and it depends on documentation being ready before the first approach, not after it.
